Decision on completion of the merger of SpareBank 1 SR-Bank ASA og SpareBank 1 Sørøst-Norge and subscription price for new shares to be issued in connection with the merger

Reference is made to the stock exchange notice of 26 October 2023, 5 December
2023, 17 April 2024 and 21 June 2024 regarding the merger of SpareBank 1 SR-Bank
ASA and SpareBank 1 Sørøst-Norge.

Finanstilsynet has granted necessary permits to carry out the merger.

Therefore, the boards of SpareBank 1 SR-Bank ASA and SpareBank 1 Sørøst-Norge
have on 24 September 2024, decided to complete the merger of the banks.

The board of SpareBank 1 SR-Bank ASA has also set the subscription price for the
new shares to be issued in connection with the capital increase, which will be
carried out to issue shares as consideration in the merger of the banks. In
connection with the completion of the merger, the share capital in SpareBank 1
SR-Bank will be increased by 2,779,683,450 NOK through the issuance of
111,187,338 new shares, each with a nominal value of NOK 25 and at a
subscription price of NOK 130.60. The subscription price equals the last
estimated book value per share at a group level at the time the board of
directors decided to complete the merger, in accordance with the merger plan.
All shares will be issued to the existing equity certificate holders in
SpareBank 1 Sørøst-Norge.

The merger is planned to be completed on the 1 October 2024.
