STOREBRAND BANK ASA - Internal Group Merger with Kron AS

Reference is made to the stock exchange announcement of September 5, 2022, from
Storebrand ASA, org. no. 916 300 484, regarding Storebrand ASA's acquisition of
the Norwegian fintech company Kron AS ("Kron").
The Board of Directors of Storebrand Bank ASA ("SBB") has today signed a joint
merger plan for an internal group merger between SBB and Kron, with the former
as the acquiring company. The merger will be carried out in accordance with the
rules on mergers between group companies in the Public Limited Liability
Companies Act § 13-24, where Kron at the time of the merger will be a wholly
-owned subsidiary of SBB. The merger is being carried out as part of fulfilling
the regulatory conditions set at the time of the acquisition of Kron and is
expected to be completed in the fourth quarter of 2024. The merger is subject to
regulatory approvals from the Norwegian Financial Supervisory Authority.
