Disclosure of large shareholding in Gram Car Carriers ASA by SAS Shipping Agencies Services Sàrl

Reference is made to the recommended voluntary cash offer by SAS Shipping
Agencies Services Sàrl (the "Offeror") to acquire all issued and outstanding
shares of Gram Car Carriers ASA (the "Company") at a cash consideration of NOK
263.69 per share, as further set out in the offer document dated 23 May 2024
(the "Offer Document"), and the settlement announcement made earlier today, on
11 July 2024 (the "Settlement Announcement").
As described in the Settlement Announcement, the closing conditions for the
Offer relating to "Regulatory Approvals" and "Minimum Acceptance" have been
satisfied. Settlement and completion of the Offer will take place no later than
on 25 July 2024, subject to the remaining closing conditions as set out in in
Section 4.3 (Conditions for completion of the Offer) of the Offer Document
remaining fulfilled or having been waived by the Offeror.
Prior to completion of the Offer, the Offeror does not own any shares in the
Company. Following completion of the Offer, the Offeror will own 28,352,400
shares in the Company, representing approximately 96.82% of the share capital
and voting rights of the Company (including the 300,000 treasury shares owned by
the Company).
The Offeror is a wholly-owned subsidiary of MSC Mediterranean Shipping Company
SA, a company owned and managed by the Aponte family.
This announcement is subject to the disclosure requirements pursuant to the
Norwegian Securities Trading Act Section 4-2.
