CodeLab Capital AS – Minutes from Extraordinary General Meeting

Reference is made to the stock exchange announcement made by CodeLab Capital AS
(the "Company") on 26 June 2024 regarding the successful placing of a private
placement of 137,931,035 new shares (the "Offer Shares") in the Company raising
gross proceeds of NOK 40 million (the "Private Placement") and a potential
subsequent share offering (the "Subsequent Offering").

An extraordinary general meeting of the Company was held at 12:00 CEST today, 10
July 2024 at the Company's premises in Dronning Eufemias gate 16, 0191 Oslo,
Norway for inter alia approval of the Private Placement. All items on the agenda
were resolved in accordance with the Board of Directors' proposals. Please see
attached a copy of the minutes from the extraordinary general meeting.

The Offer Shares allocated in Tranche 2 (as defined in the abovementioned stock
exchange announcement) of the Private Placement, except the Offer Shares
allocated to Codee Holding AS, are now tradeable.
