Share capital increase and amendment of articles of association in Nordea Eiendomskreditt AS

Reference is made to the resolution by an extraordinary meeting of shareholders
in Nordea Eiendomskreditt AS on 19 June 2024 regarding a capital injection to
the company in the amount of NOK 15 000 000 000 to the company.
The capital injection will be made by increasing the share capital from NOK
1 879 564 736 by NOK 16 781 828 to NOK 1 896 346 564, thereby increasing the
nominal amount of each of the 16 781 828 shares in the company from NOK?112 to
NOK 113. The remaining NOK?14 983 218 172 will constitute surplus funds. The
shares are fully subscribed by the sole shareholder in the company, Nordea Bank
Abp. The capital injection is scheduled to be made during the third quarter of
2024.
Upon registration in the Norwegian Register of Business Enterprises the share
capital of Nordea Eiendomskreditt AS will be NOK 1 896 346?564, divided into 16
781 828 shares with a nominal value of NOK 113 per share. Section 4 first
paragraph in the company's articles of association is amended accordingly.
