Sandvika, 17 June 2024(OSE: NORCO): In connection with Norconsult's Employee
Share Programs 2024, 3 839 employees purchased a total of 2 885 363 shares. The
share programs were substantially oversubscribed, hence the allocation of shares
was reduced in order to meet the previously communicated cost frame for the
program. The Share Programs include a program for discounted shares and matching
shares, as well as programs for executive management and other key employees.
For discounted shares, the purchase price is equal to the volume-weighted
average share price for the Company's shares on the Oslo Stock Exchange during
the last ten trading days prior to, and including, the last day of the
subscription period, 14 June 2024, with a discount of 20%.
For matching shares, the purchase price is equal to the volume-weighted average
share price for the Company's shares on the Oslo Stock Exchange during the last
ten trading days prior to, and including, the last day of the subscription
period, 14 June 2024.
Employees participating in the matching share program will receive one matching
share for each share purchased, provided they remain employed with the Company
and holds their shares through the specified vesting period. Employees receive
4/10 shares after three years and 6/10 shares after five years. The matching
share program for executive management and other key employees are subject to a
two-year lock-up period with a 20% discount on the purchasing price.
A total of 3 470 participants purchased 1 604 214 shares at a price of NOK 25.95
per share.
A total of 2 969 participants purchased 1 281 149 shares at a price of NOK 32.43
per share.
The following primary insiders (PDMR) have bought the following number of shares
on 14 June 2024 and received the following number of potential matching shares:
Anna Bolneset, deputy board member, purchased 924 shares and has been allocated
462 matching shares. After the transaction, Anna Bolneset and her close
associates hold 53 076 shares in the Company.
Anne Jenny Bergseth, board member, purchased 924 shares and has been allocated
462 matching shares. After the transaction, Anne Jenny Bergseth and her close
associates hold 33 330 shares in the Company.
Birgitte Lunde Hartmann, deputy board member, purchased 924 shares and has been
allocated 462 matching shares. After the transaction, Birgitte Lunde Hartmann
and her close associates hold 84 171 shares in the Company.
Bård Sverre Hernes, EVP Norway Head Office, purchased 7 422 shares and has been
allocated 3 616 matching shares. After the transaction, Bård Sverre Hernes and
his close associates hold 1 335 053 shares in the Company.
Dag Fladby, CFO, purchased 3 932 shares and has been allocated 3 932 matching
shares. After the transaction, Dag Fladby and his close associates hold 213 932
shares in the Company.
Egil Hogna, President and CEO, purchased 18 867 shares and has been allocated 9
314 matching shares. After the transaction, Egil Hogna and his close associates
hold 1 148 048 shares in the Company.
Erlend Haugland Næs, deputy board member, purchased 924 shares and has been
allocated 462 matching shares. After the transaction, Erlend Haugland Næs and
his close associates hold 142 931 shares in the Company.
Farah Al-Aieshy, EVP Sweden, purchased 7 296 shares and has been allocated 3 602
matching shares. After the transaction, Farah Al-Aieshy and her close associates
hold 169 796 shares in the Company.
Hege Njå Bjørkmann, EVP Communication and Brand, purchased 3 830 shares and has
been allocated 1 878 matching shares. After the transaction, Hege Njå Bjørkmann
and her close associates hold 144 180 shares in the Company.
Helge Hesjedal Wiberg, board member, purchased 462 shares. After the
transaction, Helge Hesjedal Wiberg and his close associates hold 40 600 shares
in the Company.
Janicke Garmann, EVP Sustainability and Staff, purchased 3 401 shares and has
been allocated 3 401 matching shares. After the transaction, Janicke Garmann and
her close associates hold 734 057 shares in the Company.
Kathrine Duun Moen, EVP Technogarden, purchased 7 106 shares and has been
allocated 3 477 matching shares. After the transaction, Kathrine Duun Moen and
her close associates hold 109 737 shares in the Company.
Kjell Selfors Nilsen, deputy board member, purchased 462 shares. After the
transaction, Kjell Selfors Nilsen and his close associates hold 107 575 shares
in the Company.
Lars-Petter Nesvåg, board member, purchased 924 shares and has been allocated
462 matching shares. After the transaction, Lars-Petter Nesvåg and his close
associates hold 668 733 shares in the Company.
Sandra Kuru, board member, purchased 924 shares and has been allocated 462
matching shares. After the transaction, Sandra Kuru and her close associates
hold 6 649 shares in the Company.
Sigri Rosø Pladsen, deputy board member, purchased 308 shares and has been
allocated 308 matching shares. After the transaction, Sigri Rosø Pladsen and her
close associates hold 3 635 shares in the Company.
Sten-Ole Nilsen, EVP Renewable Energy, purchased 2 955 shares and has been
allocated 2 955 matching shares. After the transaction, Sten-Ole Nilsen and his
close associates hold 587 105 shares in the Company.
Sverre Eide Holst, deputy board member, purchased 924 shares and has been
allocated 462 matching shares. After the transaction, Sverre Eide Holst and his
close associates hold 50 924 shares in the Company.
Sverre Hødnebø, general counsel, purchased 488 shares and has been allocated 488
matching shares. After the transaction, Sverre Hødnebø and his close associates
hold 5 751 shares in the Company.
Sylvia Teige, director group finance, purchased 2 007 shares and has been
allocated 1 545 matching shares. After the transaction, Sylvia Teige and her
close associates hold 182 335 shares in the Company.
Thomas Bolding Rasmussen, EVP Denmark, purchased 9 795 shares and has been
allocated 4 804 matching shares. After the transaction, Thomas Bolding Rasmussen
and his close associates hold 184 795 shares in the Company.
Vegard Jacobsen, EVP Norway Regions, purchased 3 424 shares and has been
allocated 3 424 matching shares. After the transaction, Vegard Jacobsen and his
close associates hold 389 924 shares in the Company.
The shares were acquired from Norconsult's holding of own shares. After the
transactions the company holds 22 072 899 shares.
