KMC Properties ASA - Summons to written resolution – Proposed amendments to the senior secured bonds

Reference is made to the stock exchange notice published 14 June 2024 regarding
the contemplated transaction with Logistea AB (publ) (the "Public
Announcement"). KMC Properties ASA (the "Company") has today instructed Nordic
Trustee AS to summon a written resolution for the Company's senior secured bonds
maturing 6 July 2026 (ISIN NO0012955105) (the "Bond"). The purpose of the
written resolution is to consider a proposal for certain amendments to the bond
terms (the "Proposal") in connection with the contemplated transaction with
Logistea AB (publ).

The Company has wall-crossed a select group of holders of the Bond ahead of the
Public Announcement. In aggregate, the wall-crossed investors hold around 40% of
the outstanding nominal amount of the Bond. All the wall-crossed investors have
undertaken to vote in favour of the Proposal.

The proposed resolution will be passed if a requisite majority of the voting
bonds vote in favour of the Proposal prior to the expiry of the voting period.
The voting period shall expire 10 business days after the date of the summons,
at 13:00 Oslo time on 28 June 2024.

The Company has retained Carnegie AS, DNB Markets, a part of DNB Bank ASA and
SpareBank 1 Markets as Advisers with respect to the Proposal.
