Vow Green Metals AS: Resolution to increase the share capital in connection with NOK 70 million investment by Vardar and Skagerak Energi

Reference is made to the stock exchange announcement from Vow Green Metals AS
(“Vow Green Metals” or the “Company”) on 21 May 2024 regarding the Company
entering into an agreement for a total of NOK 70 million investment, split into
a share capital increase of NOK 20 million equity investment in cash from
Skagerak Energipartner AS, a wholly owned subsidiary of Skagerak Energi AS, and
a directed share capital increase of NOK 50 million in conversion of existing
debt from Vardar AS.
In accordance with the board authorisation to increase the share capital granted
by the annual general meeting on 23 May 2024, the board of directors of the
Company has today resolved the share capital increases related to the
above-mentioned investment. The share capital increases are expected to be
registered in the Norwegian Register of Business Enterprises (Nw.
Foretaksregisteret) within short, upon which the Company's new share capital
will be NOK 1,318,205.8305 divided into 202,800,897 shares, each having a par
value of NOK 0.0065.
