Independent statement related to the voluntary cash offer by SAS Shipping Agencies Services Sàrl for the shares in Gram Car Carriers ASA

Oslo, 27 May 2024.
Reference is made to the announcement on 27 May 2024 regarding the launch of the
recommended voluntary cash offer (the "Offer") by SAS Shipping Agencies Services
Sàrl ("SAS" or the "Offeror") to acquire all issued and outstanding shares (the
"Shares") of Gram Car Carriers ASA ("GCC" or the "Company") for a cash
consideration of NOK 263.69 per Share.
Pursuant to section 6-16 of the Norwegian Securities Trading Act of 29 June 2007
No. 75 (the "Norwegian Securities Trading Act"), the board of directors of GCC
(the "Board") shall provide a statement on the Offer. Oslo Børs, in its capacity
as take-over supervisory authority, has decided that the statement on the Offer
shall be issued by an independent expert and not by the Board, and that such
statement can be issued by ABG Sundal Collier ASA ("ABG Sundal Collier") on
behalf of GCC, cf. section 6-16 (4) of the Norwegian Securities Trading Act.
