Edda Wind - Disclosure of large shareholdings and mandatory notifications of trade

2 May 2024: In connection with the sale of 21,300,000 shares in Edda Wind ASA
("Edda Wind" or the "Company") by Østensjø Wind AS announced today, Geveran
Trading Co. Limited (“Geveran”) has agreed to acquire 10,283,869 shares,
Wilhelmsen New Energy AS (“Wilhelmsen”) has agreed to acquire 6,340,000 shares
and EPS Ventures Ltd (“EPS”) has agreed to acquire 4,676,131 shares. The shares
are acquired for a price per share of NOK 24.50, and a total consideration of
NOK 521,850,000.
The transaction is a testament to the shareholders’ strong belief in Edda Wind’s
future and will contribute to simplifying the ownership structure of the
Company. Following settlement of the transaction:
- Geveran will hold 34,850,000 shares of Edda Wind, representing 31.03% of the
issued shares and votes
- Wilhelmsen will hold 34,840,000 shares of Edda Wind, representing 31.02% of
the issued shares and votes
- EPS will hold 22,564,462 shares of Edda Wind, representing 20.09% of the
issued shares and votes
DNB Markets, a part of DNB Bank ASA, has acted as a financial advisor to
Geveran, Wilhelmsen and EPS in the transaction.
