XXL ASA – New share capital registered

Oslo, 18 April 2024: Reference is made to the stock exchange announcement
published by XXL ASA (the "Company") on 22 March 2024 regarding a successful
placement of new shares in the Company (the "Private Placement"), as well as the
stock exchange announcement made on 12 April 2024 regarding the resolution by
the extraordinary general meeting to increase the share capital in connection
with the settlement of the Private Placement.

The share capital increase pertaining to the issuance of 714,285,714 new shares
in the Private Placement, divided into 535,714,285 ordinary shares (class
A-shares) and 178,571,429 non-voting shares (class B-shares) has today been
registered with the Norwegian Register of Business Enterprises (Nw.
Foretaksregisteret). A total of 265,985,080 new class A-shares will be issued in
Euronext Securities Oslo (CSD) on the listed ISIN NO 0010716863 and the new
class B-shares will be issued in CSD on the unlisted ISIN NO 0013014589. The
remaining 269,729,205 A-shares will be issued in (CSD) on the temporary ISIN NO
0013215426 and subsequently listed on the Oslo Stock Exchange following approval
by the Financial Supervisory Authority of Norway (Nw. Finanstilsynet) and
publication by the Company of a prospectus, expected in May 2024.

The Company's registered share capital is NOK 951,144,057.60 divided into
1,870,566,386 ordinary shares (class A shares) and 507,293,758 non-voting shares
(class B shares), in total 2,377,860,144 shares, each with a nominal value of
NOK 0.40.
