Atlantic Sapphire ASA: Private Placement Successfully Placed

Reference is made to the stock exchange release from Atlantic Sapphire ASA
("Atlantic Sapphire" or the "Company") published on 29 February 2024 regarding a
contemplated underwritten private placement.
The Company is pleased to announce that it has raised NOK 369 million, i.e. the
equivalent of USD 35 million, in gross proceeds through a private placement (the
"Private Placement") of 307,125,000 new shares, at a price per new share of NOK
1.20 (the "Offer Shares" and the "Offer Price"). The Private Placement was
carried out on the basis of an accelerated bookbuilding process managed by
Arctic Securities AS and DNB Markets, a part of DNB Bank ASA, (together, the
"Managers") as Joint Bookrunners after close of markets on 29 February 2024.
The net proceeds from the Private Placement will be used to support Phase 1 to
proven state and for general corporate purposes, as described in the Q4 2023
Operational Update announced on 29 February 2024.
The Private Placement is divided into two tranches with one tranche of
156,080,000 Offer Shares ("Tranche 1") resolved by the Company's board of
directors (the "Board") pursuant to a board authorisation granted by the general
meeting on 23 October 2023, and a second tranche of 151,045,000 Offer Shares
("Tranche 2") subject to the approval of an extraordinary general meeting to be
held on or about 22 March 2024 (the "EGM").
The Private Placement was fully subscribed, and the Underwriters were therefore
not allocated Offer Shares beyond the amount of Offer Shares that they had
subscribed for. The Underwriters' underwriting commission of 5.00 % of their
respective underwriting obligations, will be settled through the issuance of new
shares in the Company subject to the approval of a board authorization from the
EGM. The shares to be issued as underwriting commission will be issued following
the EGM.
Delivery of Offer Shares in both Tranche 1 and Tranche 2, including new shares
to the Underwriters, will be made on a delivery versus payment ("DVP") basis
with existing and unencumbered shares in the Company that are already listed on
the Oslo Stock Exchange, pursuant to a share lending agreement between DNB
Markets (on behalf of the Managers), the Company, Nordlaks Holding AS and
Strawberry Capital AS (the "Share Lending Agreement"). The Offer Shares
delivered to the applicants in Tranche 1 will thus be tradable from allocation
and the Offer Shares delivered to the applicants in Tranche 2 will be tradable
after approval in the EGM. The Share Lending Agreement will be settled through
delivery of new shares to a separate ISIN pending the publication of an EEA
prospectus approved by the Financial Supervisory Authority (the "Prospectus").
The following persons discharging managerial responsibilities ("PDMRs") and
close associates to PDMRs has subscribed for and been allocated Offer Shares in
the Private Placement at the Offer Price:
- ASInvest AS, a close associate of André Skarbø, Board member, has been
allocated 3,878,204 Offer Shares at the Offer Price, corresponding to a total
subscription amount of approximately NOK 4,653,845;
- Karl Øystein Øyehaug, CFO, has been allocated 83,333 Offer Shares at the Offer
Price, corresponding to a total subscription amount of approximately NOK
100,000;
- Strawberry Equities AS, a close associate of Chairman Kenneth Jarl Andersen,
has been allocated 28,789,670 Offer Shares at the Offer Price, corresponding to
a total subscription amount of approximately NOK 34,547,604; and
- Nordlaks Holding AS, a close associate of Deputy Chairman Eirik Welde, has
been allocated 43,499,907 Offer Shares at the Offer Price, corresponding to a
total subscription amount of NOK 52,199,888.

Equal treatment
The Private Placement implies a deviation from the pre-emptive rights of the
Company's existing shareholders. When resolving to conditionally complete the
Private Placement, the Board has considered the Private Placement in light of
the equal treatment obligations under the Norwegian Public Limited Companies
Act, the Norwegian Securities Trading Act, Oslo Børs' Circular no. 2/2014 and
the rules on equal treatment under Oslo Rule Book II for companies listed on the
Oslo Stock Exchange, and is of the opinion that the contemplated Private
Placement is in compliance with these requirements.
The Board has in particular emphasized that DNB Bank ASA, subject to completion
of the Private Placement, has credit approved certain amendments of the
Company's existing debt facilities:
• Extension of the facility from April 2025 to October 2026;
• Adjustments of financial covenants;
• 50% instalment reduction for 2024. Instalments reduced in 2024 will be
distributed evenly for the remaining loan profile of the debt facility;
• Adjustment of the borrowing base of the RCF, increasing the drawdown
availability; and
• Adjustment of the incurrence tests for the undrawn Phase 2 debt to reflect the
latest Company budget.
Furthermore, the Board has emphasized that it is advantageous to raise equity
capital in a time- and cost-efficient manner. The fact that the subscription of
Offer Shares for a value corresponding to the Offer Size was guaranteed by a
guarantee consortium contributed to reducing uncertainty, and the Board of
Directors considered it to be in the best interest of the Company and its
shareholders to enter into an agreement for such a guarantee even though the
guarantors are to receive a guarantee fee of 5.00% of the guaranteed amount to
be settled by the issuance of shares in the Company. It has also been taken into
consideration that the Private Placement is based on a publicly announced
bookbuilding process.
On the basis set out above and based on an assessment of the current equity
markets, the Board has considered the Private Placement to be in the common
interest of the Company and its shareholders. As a consequence of the Private
Placement structure, the shareholders' preferential rights to subscribe for the
Offer Shares will be deviated from.
Potential Subsequent Offering
The Board has resolved an intention to carry out a subsequent offering (the
"Subsequent Offering") of up to 45,000,000 new shares with gross proceeds of up
to NOK 54 million at the Offer Price directed towards existing shareholders in
the Company as of 29 February 2024 (as registered in the VPS on 1 March 2024)
who; (i) were not allocated Offer Shares in the Private Placement and (ii) are
not resident in jurisdictions where such offering would be unlawful, or would
(in jurisdictions other than Norway) require any prospectus filing, registration
or similar action. The Company reserves the right in its sole discretion to not
conduct or cancel the Subsequent Offering. Completion of the Subsequent Offering
is subject to, among other things, completion of the Private Placement, granting
by the EGM of a board authorization to increase the Company’s share capital in
connection with issuance of shares in a Subsequent Offering, the market price of
the Company's shares and approval of the Prospectus.
