December 16, 2020 - innovative – RFK SpA, investment holding, announces that, by resolution of 15 December 2020 by means of notarial minutes on the same date - n. 18.582/7.086 of repertorie under registration (notarial certification herewith attached) – THE BOARD OF DIRECTORS OF THE COMPANY - with subscribed and paid-in share capital equal to 8,791,520 euros divided into n. 8,791,520 ordinary shares without expressly indicated nominal value listed on Euronext Access multilateral trading system organized and managed by Euronext Paris MTF, ISIN  IT0005391161,  tax code and Company register number of Milan 10095350962 REA MI – 2504797 – in force of the delegation of powers received pursuant to art. 2443 Italian civil code from the extraordinary shareholders' meeting of the company on 9 June 2020 referred to in the notarial minutes of 10 June 2020 n. 18.324 /6.976  of rep. and the provision of Article 6 of the Articles of Association, HAS RESOLVED to increase the company share capital by a paid share capital increase for 610,136 Euros in addition to an increase of 305,068 Euros for shares premium and therefore for a total amount of 915,204 Euros; the share capital increase to be released in cash by issuing no. 610,136 new ordinary shares - dematerialized at the unit issue price of € 1.5 of which € 0.5 of share premium - to be offered and reserved under subscription to new investors and therefore with the exclusion of the right of option pursuant to art. 2441 paragraph 5 Italian civil code. The aforementioned capital increase is already fully subscribed by the new investors and also released in full by each of the investors for the amount individually paid in and specified in the annex of the minutes of before mentioned resolution of the board of directors of the company innovative – RFK SpA. It is pending: both the issuing of  beforementioned ordinary shares within centralized management in the dematerialized regime – Monte titoli - in favor of the investors through shares accreditation to the respective securities deposits and the entry in the shareholders company books. The new capitalization at Euronext Access follows within the applicable terms.
