Characteristics of the Global Placement The Global Placement is directed mainly to qualified investors. - Number of shares: 90% of the offered shares. - Underwriters: BNP Paribas, UBS Investment Bank, Citigroup, Société Générale Corporate and Investment Banking. Characteristics of the Open Price Offer The OPO is meant for individuals, investing legal entities and FCP. - Number of shares: 10% of the offered shares. If demand in the OPO allows it, the final number of shares allocated will at least be equal to 10% of the total number of shares offered ; the number of shares offered within the OPO may be increased by deduction from the Global Placement.

Operation description

Admission on Eurolist by Euronext:

  • 10,000,000 existing shares comprising the equity of SELOGER.COM, and the ordinary shares resulting from the automatic conversion of the 250,000,000 preferred shares comprising the equity of Seloger.Com,
  • a maximum of 3,669,724 new shares obtained from a capital increase, as part of the introduction in the stock exchange,
  • a maximum of 100,000 new shares obtained from a capital increase reserved for the Company's employees.

A maximum of 8,440,684 shares will be offered to the public as part of a Global Placement and an Open-Price Offer - OPO (before over-allocation).

Over allocation Option : the transferring shareholders will agree to grant the financial intermediaries an option to purchase a maximum of 1.266.098 additional existing shares at the introductory price.

The shares will be admitted temporarily on Eurolist by Euronext under the title "Seloger Promesses".
