Global Placement and Open Price Offer
Global Placement procedure - Number of shares: a maximum number of 10,925,525 shares representing 90% of the Offer (before Green Shoe) - Underwriters: J.P. Morgan Securities Ltd, Lazard-IXIS (Leadbookrunners-leadmanagers), Merrill Lynch International (Senior co-leadmanager), Dexia, Société Générale (Co-leadmanagers). Open Price Offer procedure - Subscription mainly open to: Retail investors. - Number of shares : A minimum of 1,213,947 shares representing 10% of the Offer (before Green Shoe) The final number of shares to be allocated to the Global Placement on one hand, and the OPO on the other hand, will be fixed depending on the demand. The total number of shares within the OPO shall represent no less than 10% of the total number of shares in the Offer before Green Shoe.
Admission on Eurolist by Euronext:
- a number of 43,107,880 existing shares representing the outstanding capital of EDF Energies Nouvelles,
- a number of 12,139,472 new shares by way of public offering,
- a maximum of 1,820,920 new shares in case Green Shoe is exercised,
- a maximum of 435,000 new shares from a capital increase reserved to the employees,
- a maximum of 4,798,464 new shares from a capital increase reserved to the company EDEV.
A number of 12,139,472 shares, before Green Shoe, will be offered to public by the way of a Global Placement and an Open-Price Offer (OPO).
Green Shoe: In order to cover any allocation, the company EDF Energies Nouvelles will grant the Bookrunners-Lead managers (J.P. Morgan Securities Ltd and Lazard-IXIS) a Green Shoe that will raise the number of shares in the Offer, by a maximum number of 1,820,920 new shares, ie a maximum of 15% of the total number of shares offered in the Offer. This Green Shoe wil take place no later than 27 November 2006.
The EDF Energies Nouvelles shares will be admitted temporarily on Eurolist by Euronext under the title "EDF EN PROMESSES".
- Period of the Global Placement: from November 14, 2006 to November 27, 2006 (20:00) - Period of the OPO: from November 14, 2006 to November 27, 2006 (17:00 for orders delivered at the counters of authorised intermediaries - 20:00 for orders sent via Internet) - First quotation: November 28, 2006 - Beginning of trading: November 29, 2006 - From November 29, 2006 and until December 1st, 2006 inclusive: trading of new and existing shares on a single quotation line "EDF EN PROMESSES" under the ISIN code FR0010400143 - From December 4, 2006: the EDF Energies Nouvelles shares will be quoted under the title "EDF Energies Nouv.", ISIN code FR0010400143 (unchanged) and mnemonic EEN (unchanged)
