Ayfie International AS: Extraordinary general meeting held

An extraordinary general meeting in Ayfie International AS (the "Company") was
held today, 9 July 2026 at 12:00 (CEST). Please find attached the minutes of the
meeting.
All proposals on the agenda were approved, including the issuance of new shares
and warrants in the NOK 7.75 million private placement and loan conversion, and
the issuance of new shares and warrants in a subsequent offering (the
"Subsequent Offering"), as previously announced. A total of 530 200 new shares
(and the corresponding number of warrants) will be issued in the Subsequent
Offering at a subscription price of NOK 3 per share (being the same subscription
price per share as in the aforementioned private placement). Please see the
