Global Placement and Fixed Price Offer
Common conditions for Global Placement and Fixed Price Offer - Indicative offer price : 38.50 euros - The first share price will set of the offer and will take account of the demand expressed in the Global Placement. The final price will be set on October 3rd, 2006 after centralisation of the OPF and should be published in a notice that same day. The final share price may be set outside the above-mentioned range. - If the global demand does not represent at least 75% of the capital increase, operation will be cancelled and the orders will be void. - The final number of shares offered in Global Placement and OPF will be fixed in accordance with the nature and the importance of the demand. Characteristics of the Global Placement Before first quotation, a portion of the shares will be distributed under the Global Placement comprising a public placement in France and outside the France except the United States of America. - Number of shares: 187,013 shares (90% of the Offer) - Underwriters: Invest Securities Characteristics of the Fixed Price Offer The OPF is meant mainly for individuals, investing legal entities and mutual funds. - Number of shares: 20,779 shares (10% of the total offered shares number) with a maximum of 41,558 shares (20% of the total offered share number).
Listing on Eurolist by Euronext 982,748 existing shares that comprise the equity of SELECTIRENTE, a maximum of 207,792 New Shares obtained from a capital increase and a maximum of 31,168 Additional New Shares should the extension clause be exercised.
The listed shares will represent the total equity and voting rights in the Company. Since the listing, the shares will be either in bearer form or in registered form at the choice of the shareholder.
207,792 shares, will be offered to the public as part of a Global Placement and an OPF.
These shares will be obtained from the issue of a maximum of 207,792 new shares (21.14% of the equity before the extension clause) as part of a capital increase permitted by the extraordinary general meeting of shareholders held on August 28th, 2006, which will be decided by the board of directors on October 3rd, 2006. This amount might be increased to 238,960 new shares, if the extension clause is exercised.
