Oslo, 10 July 2026 – Dellia Group ASA ("Dellia" or the "Company") announces that
it has received unsolicited approaches and expressions of interest from several
parties in the Company and in the sector more broadly. In response, the Board of
Directors has engaged Pareto Securities AS ("Pareto Securities") as exclusive
financial advisor and intermediary to evaluate strategic alternatives aimed at
maximizing shareholder value, and to assist in preparing and executing any
potential transactions resulting from this process.
The review will consider a broad range of strategic and financial alternatives
available to the Company, which may include, but are not limited to, a sale of
the Company or its assets, a merger, a capital raise, a strategic partnership,
or other transactions consistent with the Company's objective of maximizing
value for its shareholders.
Given the level of inbound interest received, the Board of Directors of Dellia
has determined that a structured review of strategic alternatives is in the best
interest of the Company and its shareholders, and has engaged Pareto Securities
given its strong track record and expertise within the Nordic capital markets.
There can be no assurance that the process will result in any transaction, nor
as to the timing or terms of any transaction should one be pursued. Dellia does
not intend to comment further on this process unless and until the Board of
Directors has approved a specific transaction or otherwise concludes that
further disclosure is appropriate or required.
