Global Placement and Open Price Offer
Global Placement procedure - Number of shares: 3,111,042 shares representing 90% of the Offer (before extension option and green-shoe option exercise) - Book runners: IXIS CIB, IXIS Securities and Natexis Bleichroeder Open Price Offer procedure - Subscription open for Retail investors, legal entities and certain UCITS. - Number of shares: 345,671 shares representing 10% of the Offer (before extension option and green shoe option exercise)
Admission on Eurolist by Euronext:
- 11,627,100 existing shares representing the outstanding capital of VIVALIS, and,
- a maximum of 2,762,431 new shares by way of public offering.
A maximum of 3,456,713 shares, (2,762,431 new shares and 694,282 existing shares) before extension option and green shoe exercise, will be offered to public by the way of a Global Placement and an Open-Price Offer (OPO).
Extension option: Depending on the demand, the number of shares offered could be raised by a maximum of 391,000 existing shares.
Green shoe option: Depending on the demand, the number of shares offered could be raised by a maximum of 571,218 existing shares.
The VIVALIS shares will be admitted temporarily on Eurolist by Euronext under the title "VIVALIS PROMESSES".
