Operation description

Admission on Eurolist by Euronext:
- 13,111,300 existing shares representing the outstanding capital of METABOLIC EXPLORER,
and,
- a maximum of 5,619,129 new shares by way of public offering,
- a maximum of 1,489,068 new shares in case the extension option and green shoe option are exercised.

A maximum of 5,619,129 shares, before extension option exercise, will be offered to public by the way of a Global Placement and an Open-Price Offer (OPO).

Extension option: Depending on the demand, the number of shares offered could be raised by a maximum of 561,912 shares.

Green shoe option: Depending on the demand and the evolution of the marketshares in the month following the introduction, the number of existing shares on the market could be raised by a maximum of 927,156 additionnal new shares.

The METABOLIC EXPLORER shares will be admitted temporarily on Eurolist by Euronext under the title "METABOLIC EXPLORER PROMESSES".
