Global Placement and Open Price Offer
Conditions applying to both Global Placement and Open Price Offer (Ie. notice for detail) The Global Placement Before first listing, a proportion of the shares will be included in a placement in France and an international private placement in some countries excluding the United States of America. - Underwriter: Banque d’ORSAY - Number of shares: 500 918 shares, that is 70% of the Offer Depending on the demand, the breakdown between the Placement and the OPO may be adapted as stated below. The Open Price Offer - Number of shares in the OPO: 214 680 shares, that is 30% of the Offer.
The price range for the OPO has been changed. As a consequence, some terms and conditions of the offer are modified as follows:
715 598 shares will be offered to the public as part of a global placement and an open-price offer (OPO). The shares will be obtained from the selling of 357 798 existing shares, and from the issue of 357 800 new shares. These new shares are part of a capital increase permitted by the extraordinary general meeting dated May 22, 2006 and to be realised with the listing and decided by the board of directors dated June 2, 2006. Final conditions will be decided by the board of directors dated June 29, 2006.
- Period of the Placement: until June 29th, 2006 (12:00) - Period of the OPO: until June 28th, 2006 (17:00) - First quotation: June 29th, 2006 - Beginning of trading: July 5th, 2006
