Global Placement and Open Price Offer
Global Placement procedure - Number of shares: 679,500 shares representing 90% of the Offer (before extension option exercise) - Book runner: INVEST SECURITIES Open Price Offer procedure - Subscription open for Retail investors, legal entities and certain UCITS. Number of shares: 75,500 shares representing 10% of the Offer (before extension option exercise). The number of shares offered within the OPO may be increased by shares offered in the Global Placement up to a maximum of 20% of the offer. The number of shares offered within the Global Placement may be increased by shares offered in the OPO.
Admission on Alternext:
- 3,200,000 existing shares representing the outstanding capital of ENTREPARTICULIERS.COM,
and,
- a maximum of 280,000 new shares by way of public offering,
- a maximum of 42,000 new shares in case the extension option is exercised.
A maximum of 755,000 shares, before extension option and green shoe exercise, will be offered to public by the way of a Global Placement and an Open Price Offer (OPO).
Extension option: Depending on the demand, the number of new shares offered could be raised by a maximum of 42,000 shares.
Green shoe option: Some 119,550 existing shares may be offered should the green shoe option be exercised.
