Global Placement and Open Price Offer
Conditions applying to both Global Placement and Open Price Offer (Ie notice for detail) The Global Placement Before first listing, a proportion of the shares will be included in a placement in France and an international private placement in some countries excluding the United States of America. - Underwriter: Euroland Finance - Number of shares: 790 709 shares, that is 90% of the Offer Depending on the demand, the breakdown between The Placement and the OPO may be adapted as stated below. (Ie notice for detail) The Open Price Offer - Number of shares in the OPO: 87 857 shares, that is 10% of the Offer If the demand permits it, the number of shares offered within the OPO will be equal to 10% minimum of the Offer. Admission on Alternext the 2 500 000 existing shares that comprise the equity of Cedip Infrared Systems at the day of the admission, and a maximum of 712 500 new shares that will be issued in the admission framework.
The admitted shares will represent the total equity and voting rights of the Company.
878 566 shares will be offered to the public as part of a global placement and an open-price offer (OPO). The shares will be obtained from the selling of 259 000 existing shares, and from the issue of 619 566 new shares. These new shares are part of a capital increase permitted by the extraordinary general meeting dated May 15, 2006 and to be realised with the listing and decided by the board of directors dated May 19, 2006. Final conditions will be decided by the board of directors dated June 7, 2006.
