SpareBank 1 Østlandet (SPOL): Board has approved completion of the merger of SpareBank 1 Østlandet and Totens Sparebank

SpareBank 1 Østlandet’s board has in a meeting on 20 September 2024 approved
completion of the merger between SpareBank 1 Østlandet and Totens Sparebank.
Completion of the merger is conditional upon the necessary approvals from the
board of Totens Sparebank. The decision from Totens Sparebank, including the
establishment of Totens Sparebankstiftelse, is expected on 14 October 2024.
Reference is made to the stock exchange notices published on 4 September 2024,
10 June 2024, 22 February 2024 and 15 January 2024.

SpareBank 1 Østlandet has at the same time approved the subscription rate of the
equity certificates and completion of the capital increase. The equity
certificate capital in the bank is increased with NOK 1 001 546 750 upon
issuance of 20 030 935 new equity capital certificates, each with a nominal
value of NOK 50. The equity certificates will be issued at NOK 117.88. A total
of 11 713 364 equity certificates will be issued to Totens Sparebankstiftelse
which will be established in connection with the implementation of the merger
and 8 317 571 equity certificates will be issued to the equity certificate
holders in Totens Sparebank, except for SpareBank 1 Østlandet.

The merger is contemplated to be finalized on 1 November 2024.

The banks have engaged Advokatfirmaet Selmer AS as legal advisor in connection
with the implementation of the merger. SpareBank 1 Østlandet has engaged
SpareBank 1 Markets AS as financial advisor, and Totens Sparebank has engaged
ABG Sundal Collier ASA as financial advisor.
