Rotterdam, 20 April 2023 – Pryme N.V. – New share capital issued

Pryme N.V. (the “Company”) refers to its announcement on 21 March 2023 regarding
a private placement of 15,367,044 new shares in the Company (the “New Shares”)
and the resolution by the extraordinary general meeting of the Company on 11
April 2023 to issue the New Shares.

The issuance of the New Shares has taken place in a notarial deed under Dutch
law on 18 April 2023 and has been registered with the Dutch trade register. The
New Shares have been delivered to the subscribers in the private placement on 19
April 2023 and are tradeable on Euronext Growth Oslo.

The Company’s total issued share capital following the issue of the New Shares
is EUR 2,416,543.30, divided into 48,330,866 shares, each with a par value of
EUR 0.05.
