ABG - Issuing of new shares

With reference to our press release of 12 March 2020, ABG Sundal Collier Holding
ASA (“ABG”) will issue 14,120,000 new shares to partners. The shares will be
issued based on the authority given by the general meeting on 26 April 2022. The
shares will be issued at NOK 0.30 per share. The initial forward price of NOK
2.76 per share has been adjusted for dividends and earlier settlement of the
forward contracts.

Total proceeds for the 14,120,000 new shares issued is NOK 4,236,000, of which
NOK 3,247,600 is added to the share capital and NOK 988,400 is added to the
account for share premium.

Following the transactions above the company will have a total of 497,463,195
shares outstanding. The company owns 13,401,251 treasury shares. The company has
forward contracts with partners for a total of 76,175,700 shares with settlement
in 2023 – 2028. ABG has authorization to re-purchase its shares in the market or
to issue new shares.
