River – Increase in Share Capital Registered

Malta, 14 March 2023:


Reference is made to the announcement published by River Tech p.l.c. (the
“Company”) on 30 June 2022 pursuant to the annual general meeting held on the
same day, whereby the Company announced the issuance of 100,000 ordinary shares.


The share capital increase has now been registered with the Maltese Business
Registry. The new authorised share capital is 2,000,000,000 shares of which
20,552,275 shares have been issued, each with a nominal value per share of EUR
0.005. The shares shall entitle their holders to one vote for every share held.

The Company confirms that the shares are validly and legally issued and that
they are fully paid up.
