EIOF – Notice of extraordinary general meeting

Bømlo, 3 March 2023: Reference is made Eidesvik Offshore ASA's (OSE: EIOF)
("EIOF" or the "Company") stock exchange announcement dated 2 March 2023,
concerning the successfully placed private placement of 10,833,333 shares in the
Company (the "Private Placement"), at a subscription price of NOK 12.00 per
share (the "Offer Price"), raising gross proceeds of approximately NOK
130,000,000 and a proposed subsequent share offering of up to 2,000,000 new
shares at the Offer Price (the "Subsequent Offering").

The Company's board of directors hereby calls for an extraordinary general
meeting to be held on 24 March 2023 at 10:00 CET, in order to, amongst other
things, approve the issuance of new shares in the Private Placement and granting
an authorisation to the Company's board of directors to issue new shares in
connection with the proposed Subsequent Offering.

The notice for the extraordinary general meeting, including the board's proposed
resolutions, the notice of attendance and proxy forms, are attached to this
notice and will be made available on the Company's website;

Shareholders are encouraged to attend the meeting by granting a proxy to the
chair of the board within 23 March 2023 at 16:00 CET. Further details are found
in the attached notice.
