Ayfie Group AS - Minutes of extraordinary general meeting

Oslo, 27 February 2023: An extraordinary general meeting of Ayfie Group AS (the
"Company") (Euronext Growth: AYFIE) was held today, on 27 February 2023, at the
Company's premises at Karenslyst allé 10, 0279 Oslo, Norway.
As set out in the attached minutes, the Company's general meeting has approved
the reverse share split (share consolidation) of the Company's shares in the
ratio of 8:1, including the share capital increase of NOK 0.25 (one (1) share
with par value NOK 0.25), to obtain a total number of shares outstanding
divisible by 8.
The Company will issue a separate stock exchange announcement at a later date
with the key dates for the share consolidation once such dates are established.
