GLX Holding AS: Fixed income investor meetings and contemplated sustainability-linked bond issue

February 3, 2023 – GLX Holding AS (“Glamox”) has mandated Arctic Securities,
Danske Bank, and DNB Markets as Joint Bookrunners and Danske Bank and DNB
Markets as Sustainability Linked Bond Structuring Advisors to arrange a series
of fixed income investor meetings commencing 6 February 2023. A new 4-year NOK
1,350 million senior secured sustainability-linked floating rate bond issue may
follow, subject to inter alia market conditions. Net proceeds from the
contemplated bond issue will be used to refinance the existing senior secured
bond issue with ticker “GLX01” (ISIN NO0010812092) and for general corporate
purposes.

In conjunction with the contemplated new bond issue, Glamox will offer a
conditional buyback of GLX01, contingent upon subscription in the new bond.
Subject to completion of the contemplated new bond issue, Glamox will call the
remaining net outstanding amount of GLX01 in whole.
