SoftwareONE enters into total return swap related to its Crayon shareholding

SoftwareONE Holding AG (“SoftwareONE”) has on 21 December 2022 entered into a
total return swap (“TRS”) agreement with a financial institution, with financial
exposure to 4,578,588 underlying shares (“Shares”) in Crayon Group Holding ASA
(“Crayon”), equivalent to approximately 5.13% of Crayon's total number of Shares
and votes. The swap price under the TRS agreement is NOK 98.25 per Share. As
part of the TRS agreement, SoftwareONE has sold 4,578,588 Shares in Crayon.

Subject to SoftwareONE's option to terminate the TRS agreement at any time, the
maturity date of the TRS is 31 July 2024. Upon maturity or termination of the
TRS agreement, SoftwareONE will receive or pay a cash settlement.

As a result of the sale of Shares under the TRS agreement, SoftwareONE's
shareholding in Crayon has been reduced to 1,681,025 Shares, equivalent to
approximately 1.88% of Crayon's total number of Shares and votes. Consequently,
SoftwareONE has fallen below the 5% threshold pursuant to section 4-2 of the
Norwegian Securities Trading Act, cf. section 4-3.

However, as a result of the entering into of the TRS agreement, SoftwareONE's
financial exposure in Crayon remains unchanged at 6,259,613 Shares, equivalent
to approximately 7.01% of Crayon's total number of Shares, until maturity or
termination of the TRS agreement.
