BidCo RelyOn Nutec A/S – Company Announcement – Interim Accounts Q4

To the bondholders in ISIN: NO 0010831373 – BidCo RelyOn Nutec A/S FRN Senior
Secured EUR 100,000,000 callable bonds 2018/2023 (the "Bond Issue") issued by
Bidco RelyOn A/S (formerly known as BidCo nr.2 af 15. marts 2018 A/S), Danish
CVR registration no. 39467836 (the "Issuer").
Pursuant to the Bond Terms, clause 12, the Issuer shall prepare Interim Accounts
no later than 60 days after the end of the relevant quarterly period, e.g. for
the period ending on 31 December.
The Issuer will, however, publish the Annual Financial Statement no later than
17 March 2023, i.e. earlier than 90 days after the end of Q4.
Given that the Issuer will not use the 120 days’ time allowance with respect to
the Annual Financial Statement and that the Annual Financial Statement will be
published less than 20 Business Days after the deadline to publish the Interim
Accounts for Q4 as per the Bond Terms, the Issuer has decided to combine Q4
Interim Accounts and the Annual Report.
It is the opinion of the Issuer that this decision is in the interest of the
Issuer and the Bondholders, and the Bondholders may ask for additional
information at a later stage upon reasonable request.
