Inin Group AS: settlement of consideration for share acquisition and new registered share capital

Reference is made to the stock exchange announcements dated 25 August 2022, 20
September 2022 and 28 September 2022 in respect of Inin Group AS' ("Inin Group")
acquisition of Nordic Infrastructure Group AS ("NI Group") and the procedure for
settlement of the consideration as set out therein.

Inin Group has settled the remaining consideration by sale of treasury shares
and issuance of new shares as follows:

• Sale of 2,001,561 treasury shares to certain sellers of NI Group on 6 December
2022.
• Issuance of 667,186 new shares to certain sellers of NI Group which was
registered with the Norwegian Register of Business Enterprises (Nw.
Foretaksregisteret) on 8 December 2022.

Following the above shares issue, Inin Group's new share capital is NOK
6,549,038.55 divided into 130,980,771 shares, each with a par value of NOK 0.05.
