Sikri Holding ASA: Disclosure of large shareholdings

Oslo, 23 November 2022. Reference is made to Sikri Holding ASA’s (“the Company”
or “Sikri”) stock exchange announcement on 22 November 2022 regarding completion
of the private placement of NOK 100 million.

Following the private placement, Varner Kapital AS will hold 12,853,156 shares
in the Company, thereby crossing the above 10% threshold to 10.2% of the
outstanding shares in the Company.

Varner Kapital AS is controlled by Joakim Varner, Marius Varner and Petter
Varner through their controlling interest in Varner Holding AS, a company
controlling Varner Invest AS, the parent company of Varner Kapital AS.
