KMC Properties ASA – Mandatory notification of trade and disclosure of shareholding

BEWI Invest AS, a shareholder owning 116,466,891 shares (40.92 per cent) in KMC
Properties ASA, has on 1 April 2022 entered into an agreement for the purchase
of 82,716,209 shares in KMC Properties ASA from Kverva Industrier AS. The
purchase will take place in two tranches whereby delivery of the first
14,093,577 shares will take place on 1 April 2022 at a price of NOK 9.38 per
share, and the remaining 68,622,632 shares will be delivered on 1 October 2022
pursuant to a forward contract at a price of NOK 9.38 per share.

BEWI Invest AS has also entered into a conditional share sale agreement with
HAAS AS under which HAAS AS will purchase 67,250,000 shares in KMC Properties
ASA from BEWI Invest AS at a price of NOK 9.25 per share. It is expected that
the sale of shares to HAAS AS will be completed in connection with delivery
under the forward contract with Kverva Industrier AS.

Following completion of the share purchases from Kverva Industrier AS, BEWI
Invest AS will own 199,183,100 shares and votes in KMC Properties ASA, equal to
69.98 per cent of the shares and votes in KMC Properties ASA. This shareholding
will be reduced to 131,933,100 shares (46.35 per cent) by the sale to HAAS AS.

In addition, BEWI ASA, a company owned 62.35 per cent by BEWI Invest AS, owns
3.01 per cent of the shares in KMC Properties ASA. As a result, BEWI Invest AS
will directly and indirectly control 207,754,528 shares and votes in KMC
Properties ASA, equal to 72.99 per cent (which will be reduced to 49.36 per cent
by the sale to HAAS AS).

HAAS AS will by acquiring 67,250,000 shares in KMC Properties ASA become a
holder of 67,250,000 shares (23.63 per cent).

Kverva Industrier AS will reduce its shareholding in KMC Properties ASA from
82,716,209 shares (29.06 per cent) to zero by the agreement between BEWI Invest
AS and Kverva Industrier AS.

Stig Wærnes is a board member of both KMC Properties ASA and BEWI Invest AS.
