Reference is made to the previous stock exchange announcements published by EAM
Solar AS (the "Company") regarding the rights issue of up to NOK 110,000,000 new
shares in the Company (the "Offer Shares"), each with a nominal value of NOK 0.5
at a subscription price of 0.5 per Offer Share (the "Subscription Price"), to
raise gross proceeds of up to NOK 55 million (the "Rights Issue").
North Sea Group AS, a company ultimately owned by Kurt Austrått, member of the
board of directors of the Company, has been allocated 4 714 361 Offer Shares in
the Rights Issue. North Sea Group AS will also receive 1 500 000 shares as
compensation for its underwriting commitment. Following the completion of these
transactions, Austrått and companies affiliated with Austrått will own 6 214 411
shares in the Company.
Please find attached the notifications for persons discharging managerial
responsibilities in accordance with Regulation EU 596/2014 (MAR) article 19 and
section 5-12 of the Norwegian Securities Trading Act.
