Settlement of employee share options and RSUs

On 5 June 2026, Zalaris ASA settled 1,544,000 employee share options and 88,631
restricted stock units. The share options and restricted stock units were
settled in accordance with the relevant agreements and the transaction agreement
between Zalaris ASA and Novestor IX SCSp announced on 13 March 2026. The
instruments were cash-settled. Further information on Zalaris’ share incentive
plans is available in the 2025 annual report.

The following primary insiders’ share options and RSUs were settled:

- Hans-Petter Mellerud, CEO: 200,000 options and 16,667 RSUs
- Richard Schiørn, EVP Solution & Delivery - Global MS: 105,000 options and
6,554 RSUs
- Øyvind Reiten, EVP Group Commercial and Sales: 105,000 options and 11,380 RSUs
- Halvor Leirvåg, CTO: 105,000 options and 6,061 RSUs
- Gunnar Manum, CFO: 105,000 options and 6,550 RSUs
- Hilde Karlsmyr, CHRO: 105,000 options and 6,037 RSUs
