Aker Horizons ASA: Adjustment of conversion price and reference share price of convertible bond

Reference is made to the NOK 1.6 billion Convertible Bond 2021/2026 with ISIN
NO0010921596 issued by Aker Horizons ASA (the "Company" or "Aker Horizons") (the
"Convertible Bond").

As a result of the dividend in-kind approved by the Company's extraordinary
general meeting held on 6 June 2025, whereby the Company distributed all of its
shares in Aker Horizons Holding AS to the Company's shareholders on record 8
September 2025, (i) the Conversion Price of the Convertible Bonds has been
adjusted from NOK 43.75 to NOK 9.3344, and (ii) the Reference Share Price has
been adjusted from NOK 35 to NOK 7.4675, in accordance with Clauses 13.1(c) and
13.6 of the Bond Terms  respectively. Please see the attachment for details.
