ININ GROUP AS: Occurrence of Change of Control Event

Reference is made to the press release published by ININ Group AS (the
"Company") on behalf of Qben Infra AB (publ) ("Qben Infra") on 23 November 2024
regarding Qben Infra's decision to complete the voluntary share exchange offer
to acquire all the outstanding shares in the Company.
The Company has informed Nordic Trustee AS that Qben Infra today has acquired
approx. 87% of the shares of the Company and that, consequently, a Change of
Control Event (as defined in the relevant bond terms) has occurred under the
bond issue ININ01 (with ISIN NO0013105114), entailing that the bondholders will
be entitled to exercise a Change of Control Put Option (as defined in the
relevant bond terms). The notice to the bondholders from Nordic Trustee AS is
attached.
