Reference is made to earlier stock exchange notices released by Atlantic
Sapphire ASA ("Atlantic Sapphire" or the "Company", and together with its
consolidated subsidiaries, the "Group") regarding the Company's financing
situation and the contemplated restructuring of the Group, e.g. the stock
exchange notice dated 23 May 2026 regarding the entry into the Restructuring
Agreement, and the stock exchange notice published earlier today regarding an
update on the offer from Coral HoldCo AS ("Coral Holding"). As part of such
restructuring, the Investor Group (as defined below) has today, 26 June 2026,
transferred all of their shares in the Company to Coral Holding (the
"Transaction").
Coral Holding is a joint investment company established by a group of the
Company's largest shareholders and convertible loan holders, consisting of; (i)
Condire Management L.P, (ii) Nordlaks Holding AS, (iii) Nokomis Capital Master
Fund L.P., (iv) Strawberry Capital AS, and (v) Joh. Johannson Eiendom AS
(jointly, the "Investor Group").
Following completion of the Transaction, Coral Holding holds 22,799,132 shares
in the Company, corresponding to 63.58% of the shares and votes in the Company.
Following completion of the Transaction, the following shareholders will reduce
their respective shareholdings in the Company, and, as a result, each of the
shareholders will fall below the 5% threshold pursuant to section 4-2 of the
Norwegian Securities Trading Act as follows:
- Condire Management, L.P. has transferred 5,787,271 shares in the Company
(representing 16.14% of the issued shares and votes prior to the Transaction) to
Coral Holding, and thereafter hold no shares in the Company.
- Nokomis Capital Master Fund L.P has transferred 4,913,249 shares in the
Company (representing 13.70% of the issued shares and votes prior to the
Transaction) to Coral Holding, and thereafter hold no shares in the Company.
- Nordlaks Holding AS has transferred 5,787,957 shares in the Company
(representing 16.14% of the issued shares and votes prior to the Transaction) to
Coral Holding, and thereafter hold no shares in the Company.
- Strawberry Capital AS has transferred 3,248,416 shares in the Company
(representing 9.06% of the issued shares and votes prior to the Transaction) to
Coral Holding, and thereafter hold no shares in the Company.
- Joh. Johannson Eiendom AS has transferred 3,062,239 shares in the Company
(representing 8.54% of the issued shares and votes prior to the Transaction) to
Coral Holding, and thereafter hold no shares in the Company.
