22 April 2026 – Reference is made to the stock exchange announcements published
by Kongsberg Gruppen ASA ("KOG ASA") on 30 October 2025, 17 December 2025, 22
January 2026 and 16 April 2026, regarding the demerger and separate listing of
the Kongsberg Maritime business area on Euronext Oslo Børs.
KOG ASA is pleased to inform that the necessary registrations in the Norwegian
Register of Business Enterprises to complete the demerger have been made, and
that the demerger has been completed.
As a result of completion of the demerger:
• KOG ASA's share capital was reduced by NOK 52,776,554.70 by reducing the
nominal value of each share from NOK 0.25 to NOK 0.19. As a result, KOG ASA's
new share capital is NOK 167,125,756.55 divided into 879,609,245 shares, each
with a nominal value of NOK 0.19. The articles of association of KOG ASA has
been updated accordingly and are available on KOG ASA's website,
https://www.kongsberg.com/.
• Kongsberg Maritime ASA ("KM ASA") has issued in total 879,609,245 new shares
(the "Demerger Consideration Shares"). The Demerger Consideration Shares will
accrue to those who are shareholders in KOG ASA as of today, 22 April 2026 (as
registered in KOG ASA's register of shareholders with Euronext Securities Oslo
on 24 April 2026). The Demerger Consideration Shares will be tradable from 23
April 2026.
• KM ASA's new share capital is NOK 52,776,554.70 divided into 879,609,245
shares, each with a nominal value of NOK 0.06.
The shares in KM ASA will tomorrow, 23 April 2026, commence trading on Euronext
Oslo Børs under the ticker "KMAR". The reference price for the KM ASA share on
Euronext Oslo Børs on 23 April 2026 will be set at NOK 67.00, which implies a
reference price for the KOG ASA share of NOK 307.20 on the same date (based on
the closing trading price on Euronext Oslo Børs for KOG ASA's shares on 22 April
2026). The actual opening trading prices for each of KM ASA and KOG ASA will be
determined based on Euronext Oslo Børs’ call auction mechanism considering the
order book development until 09:00 tomorrow morning. The reference price for the
KM ASA share of NOK 67.00 has been determined based on an update of the
underlying valuation for the division ratio in the demerger that was carried out
in connection with the signing of the demerger plan in December 2025 reflecting
developments in e.g. order book, financial position, financial estimates, market
developments, etc. since then.
