Kongsberg Maritime ASA – Publication of prospectus in connection with separate listing on Euronext Oslo Børs

16 April 2026 – Reference is made to the stock exchange announcement published
by Kongsberg Gruppen ASA (KOG ASA) on 30 October 2025, regarding the demerger
and separate listing of the Kongsberg Maritime business area (the KM Business)
on Euronext Oslo Børs. Reference is also made to the stock exchange
announcements published by KOG ASA on 17 December 2025 and 22 January 2026,
regarding, respectively, the signing and general meeting approval of the
demerger plan between KOG ASA and Kongsberg Maritime ASA (KM ASA), which will
become the new listed parent company of the KM Business. Reference is further
made to the stock exchange announcement published on 13 April 2026, regarding
Euronext Oslo Børs' receipt of KM ASA's application for the listing of the
company's shares on Euronext Oslo Børs.

In connection with the listing, KM ASA has prepared a prospectus which has now
been approved by the Financial Supervisory Authority of Norway (the
"Prospectus"). The Prospectus has been made available on KM ASA’s website,

Through the demerger, KOG ASA's assets, rights, and liabilities primarily
related to the KM Business will be transferred to KM ASA, while the remaining
assets, rights and liabilities will remain in KOG ASA. As demerger
consideration, the shareholders of KOG ASA as of the date of completion of the
demerger will receive new shares in KM ASA, where each share in KOG ASA entitles
the holder to receive one share in KM ASA. Consequently, the shareholder
structure in KM ASA will mirror that of KOG ASA immediately following completion
of the demerger.

The timeline for the demerger and listing is as follows:
• Last day of trading for the KOG ASA share with the right to receive KM ASA
shares: 22 April 2026
• Completion of the demerger by registration in the Norwegian Register of
Business Enterprises: 22 April 2026
• First trading day for the KOG share without the right to shares in KM ASA: 23
April 2026
• First trading day for KM ASA's shares on Euronext Oslo Børs: 23 April 2026

The shares in KM ASA will have ISIN NO 0013697029, and trade under the ticker
"KMAR" on Euronext Oslo Børs.
