Aker completes investment in Nscale s Series C funding round

As announced on March 9, 2026, Aker ASA ("Aker"), through a wholly owned
subsidiary, participated in the Series C funding round in Nscale Global
Holdings Ltd. ("Nscale") alongside leading global investors. The Aker elements
included (i) a cash investment of USD 350 million, (ii) the transfer of Aker's
50 percent ownership interest in the Aker Nscale joint venture to Nscale, and
(iii) full realization of the earn out mechanism. Aker has today completed
these elements. As announced on March 9, 2026, following completion of
Nscale's Series C funding, Aker's ownership in Nscale increases from 9.3
percent to approximately 23.9 percent on a fully diluted basis (approximately
27.3 percent of the share capital).

Further to this, as announced on March 16, 2026, Nscale has entered into an
agreement to acquire American Intelligence & Power Corporation. Following both
the completion of the acquisition, and the Series C funding round as described
above, Aker's ownership in Nscale is expected to be reduced to approximately
22.7 percent on a fully diluted basis (approximately 25.8 percent of the share
capital).
