River Tech p.l.c. (the “Company”, together with its subsidiaries, the “Group”),
hereby announces that it has been notified of an order which has resulted in the
freezing of its subsidiary’s operational bank account.

The Company has been notified by its subsidiary, River Technologies Limited (the
“Subsidiary”), that French authorities have filed an order, recognised by local
Maltese authorities, to freeze one of the Subsidiary’s operational bank accounts
(the "Order").

The Order was issued by an investigating judge of the Tribunal judiciaire de
Paris in the context of an ongoing criminal investigation being conducted by the
French judicial authorities.

The Order concerns the provisional seizure of funds held by the Subsidiary in
its operational bank account in Malta. The measure is described by the issuing
authority as precautionary and is intended to preserve assets pending the
outcome of the investigation.

The investigation relates to alleged offences under French law in connection
with the operation and promotion of certain online gaming activities by third
parties. The proceedings are ongoing, and the investigation remains at a
preliminary phase. The Subsidiary is not charged or convicted of any offence at
this stage.

The Group has appointed legal counsel in France and Malta to assess its legal
position.

In the event that the Order is not lifted or varied and the relevant bank
account is not released at the earliest, and provided that the Group is unable
to secure alternative liquidity or financing, the Group may become unable to
honour and settle its liabilities and obligations as and when they fall due,
thus seriously affecting its ability to maintain operations in the foreseeable
future.

The Company will keep the market updated and will provide additional updates in
the event of any material developments in the situation.
