Reference is made to the announcements regarding the voluntary offer (the
“Offer”) by Thon Gruppen AS (the “Offeror”) to acquire all the issued and
outstanding shares (the “Shares”) in Olav Thon Eiendomsselskap ASA (the
“Company”), including the announcement on 4 December 2025 regarding the launch
of the Offer and commencement of the offer period, the announcement on 6 January
2026 regarding the final results in the Offer and the announcement earlier today
regarding settlement of the Offer.
The Offeror has received acceptances and will acquire 27,545,016 shares in the
Company through the Offer at the price of NOK 335 per share (the “Offer Price”).
The Offeror is closely associated with the Company’s primary insiders Dag
Tangevald-Jensen (CEO), Kjetil Nilsen (chairman of the board of directors),
Sissel Berdal Haga Thon (member of the board of directors) and Arne B. Sperre
(deputy member of the board of directors).
The following primary insiders and close associates of primary insiders have
accepted the Offer and agreed to sell all of their respective shares in the
Company to the Offeror at the Offer Price:
• E6E Holding AS, a company closely associated with Line Norbye, a member of the
board of directors of the Company: 864,677 shares.
• Elisabeth Holvik, a member of the board of directors of the Company: 2,000
shares.
• Dag Tangevald-Jensen, the chief executive officer of the Company: 2,300
shares.
• Sissel Berdal Haga Thon, a member of the board of directors of the Company:
22,000 shares.
• Arne B. Sperre, a deputy member of the board of directors of the Company:
3,500 shares.
