Opening of remedial proceedings of Okechamp S.A. (the subsidiary of Okechamp Global B.V.) by the court in Poland

In connection with the current report 4/2025 published on 30/10/2025, Okechamp
Global B.V. (the Company, the Issuer) is informing that:

1. On 05/11/2025 the court in Poznan, Poland decided to open remedial
proceedings (postepowanie sanacyjne) for the debtor: OKECHAMP S.A. (the
Subsidiary) with its registered office in Poznan, Poland and commercial
registration number KRS 0000235254.

2. Further, the court decided:
2.1. to leave the debtor (Okechamp S.A.) in charge of its own management;
2.2. to appoint an administrator, whose role will be performed by: Patrycja
Grenda (license number 817);
2.3. to indicate that the jurisdiction of Polish courts is based on Article 3(1)
of Regulation (EU) 2015/848 of the European Parliament and of the Council of 20
May 2015 on insolvency proceedings (JOL 141, 2015, p. 19, as amended), and that
these proceedings are of a principal nature;
2.4. to charge the debtor with the costs of the proceedings.

3. The application for and the opening of remedial proceedings (postepowanie
sanacyjne) of Okechamp S.A. were supported by the Bondholders.

4. In the letter, dated 17/10/2025, Advokatfirmaet BAHR AS, acting as a legal
counsel to the ad-hoc group of Bondholders holding more than 2/3 of the Bonds
issued (the Ad-hoc Group), and Nordic Trustee AS, in its capacity as a bond
trustee for the Bondholders, informed that the members of the Ad-hoc Group
expressed their willingness to consider participation in a potential liquidity
financing, should it be needed and possible on satisfactory terms, and in
accordance with the Polish Restructuring Law. BAHR AS and Nordic Trustee also
informed that the Ad-hoc Group is currently considering a comprehensive
recapitalisation proposal for the Issuer and Okechamp S.A., and that the Ad-hoc
Group is also considering a proposal for a near-term liquidity financing, which
could finance the Group until the comprehensive recapitalisation may be
completed.
