Hawk Infinity Software AS – Completion of Acquisitions

Hawk Infinity Software AS (“HIS”) has completed the acquisition of 80% of ATOM
Tech SIA (“Atom Mobility”), 100% of Vistra GbR (“Vistra”), and 100% of Apicon
GmbH (“Apicon”).

ATOM Mobility, founded in 2018 in Riga, continues to be led by its two dedicated
founders. The company offers an all-in-one SaaS platform designed to quickly
establish and manage mobility businesses. This includes micro-mobility vehicles
and cars, supporting various models such as sharing, rental, and ride-hailing
(taxi). The platform provides all essential tools and modules for mobility
operators: white-label apps for drivers and riders, a comprehensive management
and analytics dashboard, marketing and payment modules, full integration with
leading IoT hardware providers, and built-in security features.

Vistra, established in 1994 and headquartered in Karlsruhe, delivers compliance
solutions tailored to organizations of all sizes. Vistra’s proprietary web
application enables users to manage assigned duties and legal requirements
efficiently. Additionally, Vistra is a provider of integrated management
systems, offering clients optimal guidance and customized solutions for their
compliance processes.

Apicon is a leading provider of SAP master data management software and
interface solutions, with a strong focus on Germany’s medium and large
manufacturing enterprises. Based in Schweinfurt, Bavaria, Apicon develops
certified SAP add-ons and extensions that streamline the creation, maintenance,
and modification of SAP master data. Their flagship products include APICON Data
Master—a cockpit for SAP data workflows, dashboards, and batch changes—and
APICONNECT, a connector that integrates SAP with external or specialized
systems.

The companies acquired have a combined LTM pro forma revenue of NOK 99m and
EBITDA of NOK 51m. The acquisitions were closed at an upfront enterprise value
of NOK 438m.

The acquisitions were funded by available liquidity, release from the escrow
account and an equity issue in HIS towards Hawk Infinity AS.
