SpareBank 1 Helgeland: Purchase of shares in Samarbeidende Sparebanker AS, Samarbeidende Sparebanker Utvikling DA, and SpareBank 1 SamSpar AS

The SamSpar alliance consists of the 8 local savings banks (SamSpar banks):
SpareBank 1 Gudbrandsdal, SpareBank 1 Hallingdal Valdres, SpareBank 1 Helgeland,
SpareBank 1 Lom & Skjåk, SpareBank 1 Nordmøre, SpareBank 1 Ringerike Hadeland,
SpareBank 1 Østfold Akershus, and SpareBank 1 Sogn og Fjordane. Key figures from
2024 show that we have a total business capital of NOK 312 billion and a total
loan volume of NOK 267 billion.

As participants in the SamSpar alliance, the banks engage in a strategic
collaboration on financial and non-financial services and products, including as
participants in the SpareBank 1 alliance. The banks jointly own the SamSpar
companies Samarbeidende Sparebanker AS, Samarbeidende Sparebanker Utvikling DA,
and SpareBank 1 SamSpar AS, with different ownership ratios in the three jointly
owned companies.

After negotiations, an agreement was reached on April 9, 2025, between the
SamSpar banks regarding a reallocation of shares in the jointly owned companies,
where SpareBank 1 Helgeland increases its ownership. The transaction involves
SpareBank 1 Helgeland investing a total of NOK 361 million in the three SamSpar
companies. After the transaction is completed, SpareBank 1 Helgeland will own
11.47% of Samarbeidende Sparebanker AS, 11.94% of SpareBank 1 SamSpar AS, and
14.81% of Samarbeidende Sparebanker Utvikling DA. This corresponds to an
indirect ownership of 2.24% in SpareBank 1 Gruppen AS and 2.67% in SpareBank 1
Utvikling DA.

Including the transaction, the pure core capital and total capital adequacy
ratios as of December 31, 2024, would be 16.74% and 20.81%, respectively, a
decrease of 1.06 and 1.08 percentage points.

The transaction will be completed on April 15, 2025.
