Omda acquires Predicare, a provider of decision support software for emergency triage

Omda AS, a leading provider of specialised software for healthcare and emergency
response, today announced the acquisition of Predicare, a provider of decision
support software in the emergency care sector. Including Predicare in Omda’s
portfolio will further strengthen the group´s position in the Nordic market for
emergency software solutions.
Omda has entered into a binding agreement to acquire 100% of Predicare AB.
Completion of the transaction is subject to FDI filing and approval, which are
expected to be obtained within five weeks of signing.
Predicare provides RETTS, an advanced triage system enhancing quality and
efficiency in hospital emergency rooms. The solution helps prioritise the most
critical patients, leading to better outcomes and more efficient resource use.
It also reduces patient waiting times by quickly identifying patients who
require hospitalisation, streamlining the overall emergency care process. RETTS
is currently used by the majority of hospitals in Sweden (80%) and a significant
portion in Norway (65%). Predicare has 10 employees and is based in Gothenburg,
Sweden.
With the acquisition of Predicare, Omda continues to expand its product offering
to the emergency community. Omda is already a leading provider of emergency
software in the Nordics, and its innovative solutions are trusted by emergency
service providers in 20 countries worldwide.
Johan Hedensiö, Executive Vice President of Omda Emergency sees significant
opportunities from the acquisition: “Over the last 20 years, Omda has built a
trusted position in the early parts of the emergency response value chain, with
software supporting emergency call centre operators, dispatchers, first
responders and communication between ambulances and emergency rooms. With the
addition of RETTS, we can provide a complete suite of products, extending our
offering all the way into hospital emergency rooms. This will be very attractive
to our existing customers.”
Daniel Poté, Predicare CEO highlights the access to new markets: “Predicare’s
solutions have become the go-to choice for triage in emergency care in both
Norway and Sweden, and like Omda, we pride ourselves on long-term customer
relationships. However, as a niche provider in a relatively small geography,
joining Omda will give us the opportunity to expand our operations into new
markets in Europe and beyond. We can form product solutions that provide more
customer value, also in new markets. Afterall, the challenges of providing
emergency care are universal, with patient outcomes and efficiency as the main
objectives. We see that this transaction creates significant potential for
accelerated growth.”
Acquisition details:
• Signing took place on October 4, 2024.
• Predicare had net sales of 13.5 MSEK in 2023 and budgeted sales for 2024 of 14
MSEK (management forecast).
• The acquisition of Predicare AB is expected to contribute ~3 MNOK in EBITDA to
the business area in 2025.
• The agreed transaction price is 23.5 MSEK and will be settled in a combination
of shares (11.5 MSEK based on VWAP last 30 days, NOK 33.4235) and the balance in
cash.
• Haavind and RSM have acted as advisors on legal and financial matters.
