Q-Free ASA - Major Shareholding Notification - Juniper Holdco AS

Reference is made to the announcement from Q-Free ASA on 26 September 2023 (the
"Announcement"), concerning a conditional agreement entered into on the same
date, pursuant to which Juniper Holdco AS ("Juniper") will acquire 69,843,934
shares from Rieber & Søn AS ("Rieber") at a price of NOK 12 per share. As of and
subject to closing occurring, Juniper will hold 69,843,934 shares, representing
62.8% of the shares and votes of Q-Free ASA. Juniper is 70% owned by a
subsidiary of Guardian Capital Group Limited and 30% owned by Rieber, a Bergen
based privately held investment firm. Subject to fulfilment of the conditions
for the transaction specified in the Announcement, completion of the transaction
is expected to take place early October 2023.
